Stockholder Rights 02: Stockholder Activism
Stockholders can enforce their rights by voting for directors, suing directors who breach their fiduciary duties, and selling their shares in firms that are underperforming. This module looks at how stockholders can overcome collective actions problems and rally other stockholders to vote for new management. It also looks at shareholder "precatory" proposals and their exclusion.
